	Affiliate Program Agreement and Terms (Last modified: 8/15/2007) THE FOLLOWING ARE THE TERMS AND CONDITIONS OF PARTICIPATION IN THE THEFITNESSPERSONALS.COM AFFILIATE PROGRAM. "AFFILIATE," "YOU," OR "YOUR" REFERS TO YOURSELF AND/OR YOUR COMPANY, AND "WE," "US," OR "OUR" REFERS TO The Fitness Personals, A DBA UNDER GEOFFREY SCHMIDT ENTERPRISES, INCORPERATED A FLORIDA S CORPORATION, LOCATED IN HYPOLUXO, FL. THIS AGREEMENT MAY BE REVISED FROM TIME TO TIME. General: Individual resellers, commercial entities and non-profit organizations may apply for Affiliate Program. All Affiliate applications are subject to approval by TheFitnessPersonals.com. Non-Qualifying Accounts: Please do not apply if your business or website promotes the following kinds of activities. By applying, you are stating that your business or website does not directly promote or endorse these activities. Websites, businesses and individuals that promote sexually explicit material or violence do not qualify as Affiliates. Websites that promote discrimination based on race, sex, religion, national origin, and physical disability, will not be accepted. Websites that promote illegal activities will not be accepted. Spam: Affiliate agrees to NOT SEND UNSOLICITED OR SPAM mail via email or newsgroups to promote TheFitnessPersonals.com products. You may post only to newsgroups and forums within the rules of each newsgroup. Spamming is grounds for immediate termination of your account with a cancellation of any pending commissions. You will be subject to legal action since spamming can damage the image of TheFitnessPersonals.com. Trademark Use: TheFitnessPersonals.com reserves all rights in or to its trademarks, but such trademarks may be used by Affiliate in accordance with this Agreement. You may not display our related logo, image, name or trademark in any way that may be distasteful, defame, or misrepresent our brand. The logo, name or trademarks may not be used in any search engine advertising. We have the right to specify how and if you may use any TheFitnessPersonals.com trademark. Notwithstanding your use of TheFitnessPersonals.com trademarks as described here, TheFitnessPersonals.com reserves all ownership rights in its trademarks. Agreement Provisions: Overview of Program: Minimal setup may be required NO other fees are required. NO reseller license is required. NO minimum commitment. Quit at any time if you like. Independent Contractor: The relationship between TheFitnessPersonals.com and Affiliate established by this Agreement is that of independent contractors. TheFitnessPersonals.com and Affiliate shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Commission and Payment: TheFitnessPersonals.com will pay Affiliate a commission on each referred customer resulting in a new sale after the product has been shipped and / or the service carried out. Note: We reserve the right to modify this commission structure from time to time, each time notifying you 30 days in advance via email, fax, or post. Commission structure is based on price of product and service purchased. Commission is paid on total amount purchased by customer. Standard Commission: $4.00 USD per new paying member referred from affiliate website Affiliate commission will be paid monthly. Payment will be calculated for all new sales made the previous month. If commissions due total less than $25, we reserve the right to hold payment until the next month in which total commissions due are $25 or more. In all cases, commissions will be paid out at least bi-annually, regardless of the total amount due. All commission payments will be made in U.S. dollars by company check (or any other mutually agreeable method, such as PayPal). If a service is canceled or refunded, or a product is returned and refunded after a commission on product and / or service has been paid then related commission will be deducted from the next monthly commission payment. Commissions will be paid as long as you actively participate, as a member of the Affiliate Program, or until this Agreement is canceled by either party. If Affiliate Agreement is canceled, outstanding commissions for current period at time of cancellation shall be paid in the next monthly payment so long as you have not violated rules of this Agreement. Terms of Agreement: This Agreement remains in effect until canceled by either party. Commissions earned through the date of expiration or cancellation of this Agreement will remain payable only if the subscription is not canceled or refunded by the referred customers and Affiliate has not violated this Agreement. Payment of the final commission: We may withhold payment to Affiliate for a reasonable time in order to ensure that the correct amount is paid. Disclaimer: TheFitnessPersonals.com will make every reasonable effort to track and pay commissions for all sales that apply to Affiliate. However, we are not responsible for unforeseen technical problems, Acts of God, acts by third parties, or other events outside our reasonable control that may temporarily disrupt or diminish this service. Privacy: Please refer to TheFitnessPersonals.com website for our latest privacy policy. Warranty Disclaimer: TheFitnessPersonals.com makes no warranties expressed or implied with regard to Affiliate Program except as outlined in this Agreement. Limitation of Damages: TheFitnessPersonals.com aggregate liability arising under or with respect to this Agreement or the Affiliate Program shall not exceed the total commissions paid or payable by TheFitnessPersonals.com under this Agreement. Cancellation: TheFitnessPersonals.com holds the right to cancel an Affiliates account for any reason if deemed necessary. If we cancel your account and you have not violated the terms of this Agreement, we will pay you for any outstanding commissions. Governing Law: This Agreement shall be governed by the laws of the State of Florida and the United States.
